Terms of Use
These Terms of Use ("Terms") are an agreement between you and Madd Technologies LLC ("Madd Technologies", "we", "us", or "our") about ALISA (formerly ARIA), our AI assistant. ALISA includes the ALISA mobile app, the ALISA web app at https://www.ariaassistant.ai, the ALISA phone number we assign to you, and the services behind them (together, "ALISA").
Please read these Terms carefully. Section 20 limits our liability, and section 22 says which law and courts apply to disputes.
1. How you agree to these Terms
You agree to these Terms by ticking the agreement box and choosing to continue when ALISA asks you, in the app or on the web, to agree to the Terms of Use, the Acceptable Use Policy, and the Subscription Terms, and to confirm that you have read the Privacy Policy and the AI and Call Recording Disclosure. You must also confirm that you are at least 18 years old.
If you do not agree, do not use ALISA. You can sign out, and you can ask us to delete your account at any time (see section 18).
We record each agreement with the document versions you agreed to, the time, the platform and app version, and the IP address and browser or device user agent of the request, so that we can show which terms apply to your account. The Privacy Policy explains how we handle that record.
The Acceptable Use Policy and the Subscription Terms are part of these Terms. The Privacy Policy and the AI and Call Recording Disclosure explain how ALISA handles information and uses AI. They are notices rather than contracts, and you confirm that you have read them.
2. Who can use ALISA
- You must be at least 18 years old. ALISA is not directed to children or to anyone under 18, and you may not create an account or use ALISA if you are under 18.
- You must be able to form a binding contract where you live, and you must not be barred from using ALISA under the laws that apply to you.
- If you use ALISA for a company or other organization, you confirm that you are authorized to accept these Terms for it. In that case "you" includes that organization, and it is responsible for your use of ALISA.
- You must meet the export and sanctions requirements in section 23.
If we learn that an account belongs to someone under 18, we will close it and delete its data as described in the Privacy Policy.
3. Your account and its security
- Give us accurate information when you create your account, and keep it up to date.
- Keep your password and sign-in methods confidential. Use a strong password, and do not share your account.
- You are responsible for what happens under your account, including anything done by people you allow to use your devices or accounts.
- Tell us promptly through https://www.maddtechnologies.com/contact/ if you believe someone has used your account without permission.
- You are also responsible for the accounts you connect to ALISA, such as your email, calendar, Apple, Google, or Microsoft accounts, and for keeping them secure.
4. What ALISA does
ALISA is an AI assistant for communication and scheduling. Depending on your plan and the features you turn on, ALISA can:
- read the email messages you authorize, summarize them, and draft replies for you to review;
- send a reply or a new email only after you review and approve it;
- read your calendars, check availability, and create or change events that you request or approve;
- answer calls to your ALISA phone number, take messages, and transcribe and summarize calls;
- place a "delegated" call to a person you choose, for a purpose you approve, and report the result to you;
- produce daily and weekly briefs, contact summaries, and answers in ALISA's chat.
Features, limits, and availability depend on your plan, platform, country, and connected providers, and can change as described in section 16.
5. Email you authorize, and what ALISA sends
For email summaries and drafts, ALISA processes only the messages you authorize. Each connected inbox has its own saved authorization label in Gmail or Zoho Mail, or category in Outlook. It may be named ARIA, ALISA, or a custom name. The saved label or category, not its spelling, controls access. ALISA does not rename or replace it when you reconnect or when the product name changes. You authorize a message by:
- applying that inbox's saved label or category to the message; or
- creating or approving a watch rule in ALISA. ALISA applies that same label or category to messages that match the rule, and processes a matching message only after your email provider confirms that the label or category is on it.
For each connected inbox you choose whether authorizing a message also authorizes the other messages in that exact conversation, or only that message. Processing waits when ALISA cannot confirm the provider's authorization evidence. ALISA does not read the rest of your mailbox to write drafts or summaries.
There are two limited sent-mail exceptions for Gmail and Outlook, described in the Privacy Policy. When you tap "Find my signature", ALISA reads that inbox's 10 most recent sent emails from its own address solely to find your signature, without AI, and keeps only the signature you choose to save. For an authorized conversation still waiting on you, ALISA also checks whether that inbox has already sent a reply and when, without reading the sent message's subject, recipients, or content and without AI. For Zoho Mail, signature discovery reads your saved Zoho signature settings instead of sent email, and ALISA does not run the sent-reply check. Zoho search and conversation-list responses may contain subjects and previews of unauthorized messages; ALISA discards those fields on arrival without logging, storing, queueing or sending them to AI. None of these operations authorizes other email for summaries or drafts.
ALISA does not send email on its own. It sends a reply or a new email only after you review and approve that exact message. You are responsible for every message you approve, including its recipients and content.
6. Calls
6.1 Calls to your ALISA number
When ALISA answers a call to your ALISA phone number, it tells the caller at the start that they are speaking with an AI assistant and that the call may be recorded and transcribed. The AI and Call Recording Disclosure explains this in detail.
Call-recording and consent laws differ from place to place. Some require every participant to agree before a call is recorded. You are responsible for deciding whether ALISA's notice is enough for the calls you receive, and for giving any additional notice or getting any consent that your situation or local law requires.
6.2 Delegated calls
Before ALISA places a delegated call, you must review and approve the recipient, the purpose, what ALISA may say or agree to, and the timing. Before first use, and again after a material change, you must accept the Delegated Calls disclosure in the app. On the call, ALISA says that it is an AI assistant calling for you and asks the recipient whether they agree to continue. If they decline or hang up, ALISA stops that call. If they ask not to be called again, ALISA also keeps a record of that request with your account to block future calls to that number for you. Permission to continue a connected call does not replace any consent the law requires before placing it.
You are responsible for having the right to call the number you give ALISA and for any permission, existing relationship, notice, or consent the law requires. You may not use delegated calls for marketing, harassment, emergencies, payments, account credentials, or decisions that have legal or similarly significant effects on the recipient. The Acceptable Use Policy sets out the full rules.
7. AI output and your review
ALISA uses AI to write drafts, summaries, transcripts, briefs, contact details, chat answers, and spoken replies. AI output can be wrong, incomplete, out of date, or unsuitable for your situation, and it can sound confident when it is wrong.
- Review drafts, summaries, calendar changes, and other output before you rely on them, approve them, or share them.
- ALISA's output is not legal, medical, financial, tax, accounting, employment, or other professional advice. Do not rely on ALISA in place of a qualified professional.
- You decide what to send, approve, or act on. ALISA sends email and changes your calendar only when you ask for or approve it.
8. Not for emergencies or high-risk use
ALISA is not an emergency service and cannot contact emergency services for you. Do not use ALISA for emergency calls, emergency dispatch, crisis response, medical triage, public safety, or any situation where a delay, error, or outage could lead to death, injury, or other serious harm. In an emergency, call your local emergency number directly.
ALISA depends on phone networks, internet connections, and third-party services. Calls can drop, notifications can be delayed, and features can be unavailable.
9. Acceptable use
You must use ALISA lawfully and follow the Acceptable Use Policy, which is part of these Terms. In short, you may not use ALISA to break the law; to deceive, harass, or harm anyone; to send spam or make unlawful calls; to record people unlawfully; or to interfere with ALISA or its security.
10. Subscriptions and payments
Paid plans, automatic renewal, free trials, cancellation, refunds, and price changes are governed by the Subscription Terms, which are part of these Terms, and by the purchase terms of the store or payment provider you use. Deleting the app, signing out, or deleting your account does not by itself cancel a subscription that Apple bills.
11. Your content
"Your content" means what you submit to or connect with ALISA, including email you authorize, calendar data, call audio and transcripts, prompts, chat messages, contacts, and settings.
- You keep your rights in your content. We do not claim ownership of it.
- You give Madd Technologies a limited, non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display your content only as needed to provide, secure, support, and maintain ALISA for you, to enforce these Terms, and to comply with law. This license ends when your content is deleted from ALISA, except for records we keep as described in the Privacy Policy.
- You confirm that you have the rights and permissions needed for ALISA to process your content, including content about other people, such as the senders of email you authorize, the people who call you, and the people ALISA calls for you.
- Output that ALISA generates for you is yours to use, subject to these Terms and the rights of others. ALISA may generate similar output for other users.
12. Privacy and AI providers
The Privacy Policy explains what we collect, why, who processes it, how long we keep it, and your choices.
AI features run only after you give ALISA's separate AI data-sharing consent, which you can withdraw in Settings. ALISA then sends the minimum content needed for the feature you use to OpenAI's API. OpenAI states that data submitted through its API is not used to train or improve its models unless the customer opts in, and Madd Technologies does not opt in ALISA customer content to model training. We do not use your content, or information received from Google APIs, to train generalized or foundational AI models. OpenAI may keep API content for a limited time for logging, abuse monitoring, and legal compliance, as the Privacy Policy explains.
13. Third-party services
ALISA works with services we do not control, including Apple, Google, Microsoft, OpenAI, Telnyx, and Stripe. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and a provider may change, limit, or stop what it offers, which may affect ALISA. Connecting a third-party account lets ALISA access it only as you allow and as the Privacy Policy describes. You can disconnect it at any time in Settings or with the provider.
14. Our rights and your license to use ALISA
- ALISA, including its software, design, text, graphics, and trademarks, belongs to Madd Technologies and its licensors and is protected by law. These Terms do not give you any right to use our trademarks or brand.
- Subject to these Terms, we give you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the ALISA apps on devices you own or control, and to use ALISA, for your own personal or internal business purposes.
- You may not copy, modify, distribute, sell, or rent ALISA; reverse engineer it or try to extract its source code, except where the law allows this despite this restriction; get around its security or usage limits; or use ALISA to build a competing product.
- If you send us feedback or suggestions, we may use them without any obligation to you.
15. Beta and early features
We may offer features labeled beta, preview, early access, or similar. They may be incomplete, change without notice, have extra limits, or be withdrawn, and we make no commitment about their availability or support. Do not rely on them for anything important.
16. Changes to ALISA
We keep improving ALISA. We may add, change, or remove features, change limits, or stop offering ALISA or part of it in some places. If a change significantly reduces a paid feature, we will tell you in advance where reasonably possible, and the Subscription Terms explain your options. If we stop offering ALISA altogether, we will give you reasonable notice and a chance to request a copy of your data.
17. Changes to these Terms
We may update these Terms, the Acceptable Use Policy, the Subscription Terms, the Privacy Policy, or the AI and Call Recording Disclosure. Each document shows its version date as "Last updated".
- Material changes. If a change is material, for example because it affects your rights, what you pay, or how your information is used, we will tell you at least 30 days before it takes effect. We will notify you in the app (with a notification and a banner), by push notification if you allow notifications, and by email. You can review and agree to the new version at any time during the notice period. When the change takes effect, ALISA will ask you to agree to the new version before you continue to use your account. If you do not agree, you can stop using ALISA, cancel any subscription, and ask us to delete your account.
- Other changes. Changes that are not material, such as clearer wording, corrections, or new contact details, take effect when we publish them. We will show a notice in the app and update the version date.
- New accounts agree to the version that is current when they sign up.
- If a change is required by law, or is needed urgently to address security or abuse, it may take effect sooner, and we will tell you as soon as we can.
Using ALISA after a change does not, on its own, mean that you have agreed to it.
18. Ending your use of ALISA
- You may stop using ALISA at any time. You can delete your account in Settings in the app, or ask us to delete it through https://www.maddtechnologies.com/data-removal. Deleting your account cancels a web subscription billed by Stripe, but you must cancel an App Store subscription with Apple, as the Subscription Terms explain.
- We may suspend or limit your access, or end these Terms and close your account, if you materially or repeatedly breach these Terms or the Acceptable Use Policy, do not pay, create a risk to other people or to ALISA, or if the law or a provider requires us to. Where reasonable, we will tell you why and give you a chance to fix the problem first. We may act without notice to stop serious harm, fraud, or unlawful use.
- Your data. When account deletion completes, we delete your account and the account-linked records in ALISA's active database. Billing and phone-number cleanup must succeed before deletion completes; if a step fails, the app reports an error and you may need to retry or contact support. The Privacy Policy explains storage cleanup, limited retained records, and providers' backups and logs. ALISA releases your ALISA phone number, so you can no longer receive calls on it. Deleting your ALISA account does not delete data held by your email, calendar, or other connected providers, and we recommend that you also remove ALISA's access in your Google or Microsoft account settings.
- What continues. Sections 11 (only as needed for records we keep), 14, and 19 to 26 continue after these Terms end, as does any payment you owe.
19. Disclaimers
To the fullest extent the law allows, ALISA is provided "as is" and "as available". Madd Technologies makes no warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and does not promise that ALISA will be uninterrupted, secure, error-free, or accurate, or that AI output will be correct.
Some places do not allow some of these disclaimers. If you are a consumer, you may have statutory rights that these Terms cannot exclude, and nothing in these Terms affects them.
20. Limitation of liability
To the fullest extent the law allows:
- Madd Technologies will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising from or related to ALISA or these Terms, even if we were told they were possible.
- Madd Technologies' total liability for all claims arising from or related to ALISA or these Terms is limited to the greater of (a) the amounts you paid for ALISA in the 12 months before the event that gave rise to the claim and (b) US$50.
These limits do not apply to liability that cannot be limited or excluded by law, such as liability for death or personal injury caused by negligence, for fraud, or, where the law so provides, for gross negligence or willful misconduct. If you are a consumer in a place whose laws give you rights that cannot be limited by contract, these limits apply only as far as those laws allow.
21. Indemnity
If you use ALISA for business purposes, you will defend and indemnify Madd Technologies against third-party claims, and the resulting losses and reasonable costs, including legal fees, arising from your breach of these Terms or the Acceptable Use Policy, your violation of law, or your content, including any failure to give a notice or get a consent you were required to. If you are a consumer, this section applies only as far as the law where you live allows.
22. Governing law and courts
These Terms are governed by the laws of the State of Texas, where Madd Technologies LLC has its principal place of business, and by applicable United States federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising from or related to these Terms or ALISA will be brought only in the state or federal courts located in Texas, and you and we consent to their jurisdiction. If you are a consumer and the law where you live gives you the right to bring a claim in your local courts, or to rely on the mandatory consumer protections of your local law, this section does not take that right away.
Before bringing a claim, please email legal@maddtechnologies.com or contact us through https://www.maddtechnologies.com/contact/?category=legal so we can try to resolve it informally.
23. Export controls and sanctions
You may not use or export ALISA in violation of United States export control and sanctions laws or other laws that apply to you. You confirm that you are not located in a country or region that is subject to a United States government embargo or that the United States government has designated as a "terrorist supporting" country, and that you are not on any United States government list of prohibited or restricted parties.
24. Apple App Store terms
This section applies if you downloaded the ALISA app from Apple's App Store.
- Agreement with us, not Apple. These Terms are between you and Madd Technologies only, not Apple Inc. ("Apple"). Madd Technologies, not Apple, is solely responsible for the ALISA app and its content.
- Scope of license. Your license to use the ALISA app is limited to a non-transferable license to use it on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing where the App Store allows.
- Maintenance and support. Madd Technologies alone is responsible for providing any maintenance and support for the ALISA app, as described in these Terms or as required by law. Apple has no obligation to provide any maintenance or support for the app.
- Warranty. Madd Technologies alone is responsible for any product warranty, whether express or implied by law, to the extent not effectively disclaimed. If the ALISA app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, that you paid for the app. To the maximum extent the law allows, Apple has no other warranty obligation for the app, and any other claims, losses, liabilities, damages, costs, or expenses arising from a failure to conform to a warranty are Madd Technologies' responsibility, subject to these Terms.
- Product claims. Madd Technologies, not Apple, is responsible for addressing any claims by you or a third party relating to the ALISA app or your possession and use of it, including (a) product liability claims, (b) claims that the app fails to conform to a legal or regulatory requirement, and (c) claims under consumer protection, privacy, or similar laws.
- Intellectual property claims. If a third party claims that the ALISA app, or your possession and use of it, infringes that third party's intellectual property rights, Madd Technologies, not Apple, is solely responsible for investigating, defending, settling, and discharging that claim.
- Legal compliance. You confirm that (a) you are not located in a country that is subject to a United States government embargo or that has been designated by the United States government as a "terrorist supporting" country, and (b) you are not listed on any United States government list of prohibited or restricted parties.
- Developer contact. Send questions, complaints, or claims about the ALISA app to Madd Technologies LLC, 2970 Williams Dr #1006, Georgetown, TX 78628, United States. Email support@maddtechnologies.com for app support or legal@maddtechnologies.com for legal complaints and claims; call +1 (512) 545-1107; or use https://www.maddtechnologies.com/contact/.
- Third-party terms. You must comply with any third-party terms that apply when you use the ALISA app, such as your mobile carrier's service agreement.
- Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
25. Google Play terms
If you downloaded the ALISA app from Google Play, these Terms are between you and Madd Technologies only, not Google. Google is not responsible for the ALISA app or its content and has no obligation to provide maintenance or support for it. Your use of Google Play is governed by the Google Play Terms of Service.
26. General terms
- Entire agreement. These Terms, including the Acceptable Use Policy and the Subscription Terms, together with any purchase terms shown when you buy a plan, are the entire agreement between you and Madd Technologies about ALISA and replace any earlier agreement about it. The Privacy Policy and the AI and Call Recording Disclosure describe our practices and are referred to here for your information.
- Order of precedence. If these Terms conflict with the Subscription Terms on a billing matter, the Subscription Terms apply. If they conflict with the Acceptable Use Policy on a rule of use, the stricter rule applies.
- Severability. If a court finds part of these Terms unenforceable, that part will be enforced as far as possible and the rest will stay in effect.
- No waiver. If we do not enforce a right or provision, that is not a waiver of it.
- Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to an affiliate or as part of a merger, acquisition, reorganization, or sale of assets, and we will tell you if that happens. Where the law requires, a transfer will not reduce your rights.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of internet, telephone, or cloud providers, natural disasters, war, labor disputes, or government action.
- Notices. We may send you notices in the app, by push notification, or by email to the address on your account. You can send us notices at legal@maddtechnologies.com or through https://www.maddtechnologies.com/contact/?category=legal. Notices to you are effective when sent, and notices to us when we receive them.
- Relationship. You and Madd Technologies are independent parties. Nothing in these Terms creates a partnership, employment, agency, or fiduciary relationship. Apart from Apple as described in section 24, no one else has rights under these Terms.
- Language and headings. These Terms are written in English. Headings are for convenience only.
